Any member from the estates can put themselves forward for the roles. This year there are two Executive Director's and three Non-Executive Director roles.
Most people can hold a director position, but exceptions include anyone disqualified by the company’s own Articles of Association, undischarged bankrupts, anyone disqualified by a court order and the company’s auditor. Directors must be at least 16 years of age.
Directors are bound by strict regulation and legislation, backed by severe penalties for the most serious transgressions. The Companies Act 2006 sets out the requirements for directors to act in a way that they believe, in good faith, is most likely to promote the company’s success.
As a director, you’re legally responsible for running the company and making sure information is sent to Companies House on time. This includes:
the annual accounts - even if the company is dormant
any change in your company’s officers or their personal details
a change to your company’s registered office address
an allotment of shares
the registration of any charges (mortgage)
any change in your company’s people with significant control (PSCs) or their personal details
